Save Job

We are seeking an experienced and strategic General Counsel to lead the legal function for our program and construction management engineering firm, which delivers complex infrastructure, advanced facilities, and data‑center projects. In this executive role, you will serve as the company’s principal legal advisor, developing and shaping legal strategy across major engineering and construction initiatives and supporting business leaders with clear, practical counsel on high‑impact commercial and operational matters.

You will oversee the negotiation and execution of a wide range of project, commercial, and technical agreements—including infrastructure, and consulting contracts—and provide guidance on regulatory compliance, risk mitigation, and multi-jurisdictional requirements. This includes working closely with project management, engineering, finance, executive teams, and corporate stakeholders to enable successful project delivery and support the company’s growth objectives.

A key component of this role is leadership of the company’s corporate governance framework. The General Counsel will ensure that governance structures, internal controls, policies, and decision‑making processes align with applicable laws, emerging regulations, and industry standards. You will strengthen governance discipline across the organization by maintaining core governance documents, supporting executive and board‑level processes where applicable, and ensuring our operations reflect the highest standards of transparency, ethics, and regulatory alignment.

You will also have primary responsibility for the company’s corporate disclosure and reporting obligations, including preparing and reviewing required filings, certifications, and submissions to public agencies and regulatory authorities. This involves ensuring accuracy and timeliness of disclosures, coordinating with internal stakeholders, and serving as the primary legal contact for government bodies, auditors, and external counsel.

Additionally, the General Counsel will oversee dispute resolution and litigation management, develop and deliver internal legal training, and cultivate a proactive culture of compliance across the business. The ideal candidate brings deep experience in engineering and construction law, strong business acumen, a sense of curiosity and openness to learning, and the ability to work collaboratively in a fast‑paced, technically sophisticated environment.

Compliance and Regulatory Expertise: Managing compliance with federal/state regulations, provincial laws, global standards, corporate policies, corporate governance requirements, and emerging policies.

Risk Management: Identifying legal risks, developing mitigation strategies, and aligning risk posture with business objectives; leading initiatives to assess legal risks in project execution and organizational strategy.

Litigation and Claims Management: Supervising outside counsel, managing disputes, and overseeing litigation budgets.

Cross‑functional Collaboration: Strong collaborative skills; well versed at balancing the multiple needs of various stakeholders including technical teams, leadership, commercial staff, and project teams across regions.

Advanced Communication and Drafting Skills: Preparing legal documents, briefs, public disclosures, memoranda, and training materials.

Strategic Advisory and Business Acumen: Providing high‑level legal counsel, shaping policy, influencing strategy, and operating as a business partner to executive leadership.

Managing Disputes and Litigation: Supervising outside counsel, handling subpoenas, managing claims, and overseeing legal budgets.

Researching Laws and Regulatory Change: Monitoring legislative and regulatory developments impacting engineering, construction, infrastructure delivery, and data‑center sectors.

Providing Strategic Legal Guidance: Advising project leaders and executives on complex legal issues affecting operations, procurement, governance, and risk.

Supporting Corporate Governance and Disclosure: Managing policies, filings, disclosures, and corporate secretary activities. Training and Knowledge Sharing: Leading internal legal training, lessons learned, compliance awareness, and best practices.
