Overview
This role serves as a support to the legal team, with primary responsibility for corporate governance, entity lifecycle management, and recordkeeping. The ideal candidate is an experienced corporate paralegal who brings strong organizational discipline and meticulous attention to detail. This position is based in New York, NY. Key Duties and Responsibilities
Manage and oversee the company's entity management platform, including coordination with external service providers to ensure timely completion of state filings, annual reports, and ongoing compliance requirements Prepare, submit, and track documentation related to entity formation and dissolutions Support routine federal tax-related processes, including obtaining and maintaining Employer Identification Numbers (EINs) Maintain accurate, up-to-date corporate books and records Draft, update, and organize a variety of corporate governance and transactional documents Provide legal and administrative support for corporate and real estate transactions by securing good standing certificates, preparing approval and authorization materials, coordinating document execution, and assisting with closings Partner with various business units to ensure compliance with affordable housing statutes and other regulatory obligations Qualifications and Professional Background
7-10 years of experience as a corporate paralegal in a law firm or in-house legal environment, with a strong emphasis on corporate governance Demonstrated success managing complex, multi-entity organizational structures Ability to analyze, interpret, and apply governing documents and organizational agreements Strong interpersonal and collaboration skills, with the capacity to work effectively across diverse teams and seniority levels Clear, adaptable communication style suited to a wide range of internal and external stakeholders Proven ability to work autonomously while balancing multiple priorities in a dynamic, fast-paced setting Bachelor's degree required
