Position Summary The Corporate Paralegal provides comprehensive support to the Corporate, Transactional, M&A, and Real Estate practices. This role supports all phases of transactional matters, including entity formation, corporate governance, due diligence, regulatory filings, closings, and post-closing activities. The ideal candidate brings a strong background in corporate compliance and transactional workflows, along with excellent organizational skills, attention to detail, and the ability to manage multiple transactions simultaneously. This position works closely with attorneys, clients, and third parties to ensure efficient and accurate transaction execution.

Duties and Responsibilities

Support attorneys on corporate transactions, mergers and acquisitions, securities filings, private equity matters, and real estate transactions.

Form, register, maintain, and dissolve corporations, LLCs, and other entities, including confirming name availability, obtaining EINs, filing required documentation, paying applicable taxes and fees, and maintaining corporate minute books.

Draft, review, and organize corporate governance documents, including operating agreements, bylaws, resolutions, and stock purchase agreements.

Conduct due diligence for M&A and other transactions, including review of corporate records and coordination of lien and UCC searches.

Manage all aspects of transaction closings, including coordinating document execution, assisting with escrow and wire logistics, finalizing signature packets, and preparing post-closing binders and required filings.

Prepare and file regulatory documents related to capital raises, including Form D, Form ID, and applicable state Blue Sky filings through EDGAR and EFD platforms.

Handle UCC filings and searches and support federal and state securities compliance requirements.

Coordinate with attorneys and clients to maintain corporate records and minute books and serve as a liaison for ongoing entity maintenance.

Manage business entity filings such as formations, amendments, mergers, and dissolutions; obtain certified copies, certificates of good standing, and name reservations from state agencies.

Support real estate transactions by assisting with title and survey review, coordinating with title and escrow agents, and preparing transaction documents for acquisitions, dispositions, and leasing matters.

Maintain strict confidentiality and provide general paralegal support across practice areas as needed.

Qualifications

Minimum of five (5) years of experience as a Corporate Paralegal in a mid-sized or large law firm, with demonstrated experience supporting M&A, financing, and complex transactional matters.

Proven ability to independently manage transaction workflows from inception through closing and post-closing.

Strong drafting, research, and organizational skills with exceptional attention to detail.

Ability to prioritize multiple deadlines in a fast-paced, high-volume environment.

Team-oriented and able to collaborate effectively across offices and digital platforms.

Experience with client billing and time-entry systems (e.g., Elite, Aderant) and consistent timekeeping practices.

Technology Proficiency

Document & case management systems (e.g., NetDocuments)

E-signature platforms (DocuSign, Adobe Sign)

Securities and compliance platforms (EDGAR)

Legal research and filing tools (e.g., Westlaw; corporate filing platforms preferred)

Microsoft Office Suite: Advanced Word (styles, TOCs, track changes, document comparison), Outlook; basic Excel and PowerPoint

PDF editing tools: Adobe Acrobat Pro/DC

Education

Bachelor’s degree and/or paralegal certificate preferred

Compensation

$105,000–$125,000 annually
