
This Capital Markets Paralegal role supports high-level legal work across complex corporate and securities transactions, including IPOs and public company matters. Description
Manage complex capital markets and corporate projects independently with minimal supervision.
Support IPOs and public company transactions, including drafting checklists, attending diligence meetings, proofreading legal documents, and coordinating logistics.
Prepare and review a wide range of deal documentation-from SEC filings and disclosures to merger agreements, questionnaires, and financing statements.
Conduct legal and factual research, perform due diligence, and maintain secure, organized client materials.
Provide comprehensive pre-closing, closing, and post-closing assistance while preparing correspondence, audit responses, and working group materials.
Profile
Holds a bachelor's degree and ideally a paralegal certificate, with at least 8+ years of corporate paralegal experience.
Demonstrates strong technical skills, including Microsoft Office proficiency and familiarity with tools such as Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, Carta, and ShareWorks.
Possesses substantial experience with IPOs and public company matters, including SEC regulations, numerical backup spreadsheets, ownership tables, and Section 16 reporting.
Exceptionally organized with strong written and verbal communication abilities, capable of handling multiple deadlines accurately and efficiently.
Brings a deep understanding of corporate and securities law and can conduct precise, thorough research while maintaining meticulous attention to detail.
Job Offer
Competitive salary ranging from $125,000 to $150,000 per year.
