Role Overview We are seeking an experienced Paralegal to serve as a core member of the legal function within a growing private family office. This role will report directly to the General Counsel and provide broad support across corporate governance, entity management, real estate transactions, title, and contracts. The ideal candidate brings a blend of corporate and real estate paralegal experience and is comfortable operating with a high degree of autonomy. This role will help establish and maintain legal infrastructure as the organization continues to scale.
Key Responsibilities
Corporate & Entity Management Form, maintain, and dissolve entities (LLCs, LPs, corporations) across multiple jurisdictions Prepare and file formation documents, amendments, qualifications, and annual reports Maintain corporate governance documentation, including: Operating agreements and amendments Member, manager, and board resolutions Officer appointments and ownership records Maintain entity charts, compliance calendars, and registered agent coordination Support the General Counsel with entity-level compliance and governance matters
Real Estate Transactions & Title Support acquisitions, dispositions, refinances, easements, and development transactions Review title commitments, title policies, surveys, and recorded documents Coordinate closing processes with title companies, lenders, surveyors, and outside counsel Track transaction milestones, conditions, and post-closing obligations Organize and maintain complete transaction files and closing binders
Contracts & Legal Documentation Draft, review, and manage a wide range of agreements, including: Purchase and sale agreements Vendor and service contracts NDAs, amendments, and ancillary documents Track contract terms, renewals, expirations, and obligations Support contract organization, standardization, and lifecycle management
Compliance, Risk & Legal Operations Support ongoing compliance with corporate, real estate, and regulatory requirements Monitor changes in laws and regulations impacting the business Assist with due diligence, audits, and internal or external legal reviews Ensure timely filing, retention, and retrieval of legal and corporate records
Legal Department & Administrative Support Manage legal calendars, deadlines, and transaction timelines Prepare summaries, checklists, reports, and internal documentation for the General Counsel Coordinate legal invoices, outside counsel engagement, and matter tracking Serve as a liaison between legal, accounting, operations, and external advisors
Qualifications
Education & Experience Associate’s or Bachelor’s degree in Paralegal Studies, Legal Studies, or related field 5+ years of paralegal experience preferred Demonstrated experience in: Corporate entity formation and governance Real estate transactions and title Experience supporting senior legal leadership strongly preferred
Skills & Competencies Strong working knowledge of corporate and real estate legal processes Exceptional organizational skills and attention to detail Ability to manage multiple matters simultaneously with minimal supervision Strong written and verbal communication skills Proficiency with Microsoft Office and legal/document management systems High level of discretion and professionalism
Preferred Background Private family office, real estate development, property management, or private equity experience Multi-state entity and transaction experience Paralegal certification from an accredited program
Work Environment Primarily in-office (RTP), with limited remote flexibility Occasional travel may be required to support transactions
