Lead Paralegal – Corporate Governance & Legal Operations Chicago

Our client, a global professional services organization is seeking a Lead Paralegal – Governance & Legal Operations to support enterprise-wide corporate governance, legal operations, corporate transactions, and entity management. This role works closely with executive leadership, board members, outside counsel, and cross-functional stakeholders across the business.

Key Responsibilities Corporate Governance Coordinate Board and committee meetings, including agendas, materials, minutes, and recordkeeping Manage board portal administration and governance calendars Support Board evaluations, D&O questionnaires, and governance documentation Assist with meeting logistics and executive-level coordination

Legal Operations Support enterprise risk management reporting and governance initiatives Assist with legal department budgeting, vendor onboarding, invoicing, and spend tracking Maintain legal policies, processes, and internal resources Collaborate cross-functionally with Finance, HR, IT, Investor Relations, Communications, and Operations

Transactional Support Support corporate and M&A transactions, diligence workflows, closing documentation, and filings Draft resolutions, certificates, governance documents, and post-closing materials Coordinate with third parties to ensure timely filings and compliance

Entity Management Assist with formation and dissolution of domestic and international entities Manage compliance filings, AML/KYC requests, and execution of agreements Provide occasional support for global subsidiary management

Qualifications 10+ years of experience supporting a corporate legal or in-house governance function Strong corporate governance and corporate secretary function knowledge Experience working with Boards of Directors and handling highly confidential matters Excellent organizational, communication, and stakeholder management skills Advanced experience with electronic board portals and financial printers

Preferred: Bachelor’s degree; supervisory experience a plus Experience with Diligent Board Platform Ability to travel periodically for board meetings and work occasional evenings/weekends as needed

Salary:

$100K–$115K depending on experience
