Overview
Bayview Asset Management, LLC (“Bayview”), initially founded in 1993, is an investment management firm focused on investments in mortgage and consumer credit, including whole loans, asset backed securities, mortgage servicing rights, and other credit-related assets.
We are seeking an experienced Corporate Paralegal to support our in‑house legal team with contracts, compliance, and documentation with a focus on business transactions, regulatory filings, maintaining corporate records, and creating new business entities. The ideal candidate is detail‑oriented, proactive, comfortable working in a fast‑paced environment, and able to keep track of many legal documents, meetings and deadline requirements.
Responsibilities The following job functions are not all‑inclusive. The employee will be required to perform other job‑related tasks/responsibilities as requested. Job duties may change as required by the needs of the company.
Assist the Sr. Paralegals with day‑to‑day activities as needed and support the legal team.
Review business entities and corporate formation agreements.
Review legal documents for completeness and accuracy.
Perform quality assurance reviews of documents to ensure security interest and adherence to established policies and procedures.
Develop, monitor and update contracts, corporate resolutions, entity dissolutions, entity foreign qualifications, SEC filings, obtaining EINs and document management.
Ability to multitask by processing and prioritizing multiple files at the same time.
Manage daily, weekly, and monthly production goals, while ensuring the level of expected service, quality and integrity is maintained.
Manage and maintain large volumes of legal documents within our electronic filing database.
Legal Tracker/Concur Invoice database support.
Perform various other duties as assigned and assist with special projects of a small to moderate nature and scope.
SKILLS/KNOWLEDGE/ABILITIES
Ability to work collaboratively within a team environment.
Knowledge of corporate laws and regulations.
Experience working in a corporate legal department or law firm preferred.
Familiarity with corporate governance practices.
Ability to maintain confidentiality and handle sensitive information.
Excellent written, verbal communication, and interpersonal skills required to interact with staff, attorneys and/or clients daily as a team player.
Excellent organizational skills and attention to detail.
Must be able to meet deadlines and work effectively in a fast‑paced environment.
Strong computer skills, including proficiency in Microsoft Office Suite, Teams and DocuSign.
EDUCATION and EXPERIENCE
Bachelor's degree and in‑house experience preferred.
Minimum of 2+ years of general corporate governance/housekeeping experience and in‑house experience working with basic contracts and general corporate matters.
CERTIFICATIONS, LICENSES, and/or REGISTRATION
Paralegal Certificate/Degree preferred.
Notary Public a plus.
LOCATION
This is a hybrid position (3 days onsite) in our Coral Gables, FL office. We have existing team members based out of this office location.
