Job Description:
This is an
exciting opportunity
to join a preeminent Global Mergers & Acquisitions Group, concentrating on transactions involving
publicly traded companies . The Associate will be a
central figure
in matters of
national significance , responsible for managing the full lifecycle of
sophisticated corporate transactions .
Day-to-day responsibilities will involve:
Strategically advising corporate boards
and executive teams on the structural and legal aspects of both
sell-side and buy-side mergers, tender offers, and proxy contests . Drafting and negotiating definitive transaction agreements , ancillary documents, and
complex disclosure schedules . Ensuring meticulous
regulatory compliance
with U.S. federal securities laws, particularly the
Securities Act of 1933
and the
Securities Exchange Act of 1934
(including reporting obligations on Forms 8-K, 10-Q, and 10-K, and compliance with
Schedule 13D/G ). Conducting
pre-closing diligence
reviews and synthesizing findings for partners and clients. Serving as a
trusted advisor
on intricate
corporate governance
issues unique to public companies navigating transformative transactions. Mentorship and supervision
of junior associates on transactional processes and securities compliance. Qualifications:
Juris Doctor (J.D.) degree from an
ABA-accredited Law School . Active membership, in good standing, of the
New York State Bar
(or eligibility to waive in promptly). A minimum of
three (3) to six (6) years
of comprehensive corporate transactional experience, with a
demonstrable focus on public company M&A
acquired within a comparable large law firm setting. Excellent academic credentials
from law school and undergraduate studies. Demonstrated capacity for
exceptional legal writing , verbal advocacy, and high-level analytical reasoning. Ability to provide a comprehensive
deal sheet
detailing public company M&A experience. Preferred Skills:
Substantive experience representing clients in the
Enterprise Technology sector
and/or the
Life Sciences and Pharmaceutical industries . Advanced credentials such as an
L.L.M. in Securities Regulation
or Corporate Law. Expertise in related areas of
capital markets
transactions, including debt offerings or registered equity issuances. Proven ability to manage
multiple complex files simultaneously
in a fast-paced, demanding environment.
