We are seeking a detail-oriented and experienced Corporate Paralegal to support attorneys in a wide range of corporate transactions, entity formation, governance, compliance, and general business matters. This role involves preparing and managing documents for mergers, acquisitions, financings, contracts, and corporate maintenance, while ensuring accuracy, timeliness, and compliance with state and federal regulations in a fast-paced legal environment.

Key Responsibilities

Prepare, review, and organize corporate documents including articles of incorporation/organization, bylaws/operating agreements, shareholder agreements, resolutions, minutes, stock certificates, and amendments.

Assist with entity formation, qualification, and maintenance (domestic and foreign entities) across multiple jurisdictions; file annual reports, amendments, and other compliance documents.

Support mergers, acquisitions, asset purchases, stock sales, and joint ventures: draft due diligence checklists, organize virtual data rooms, review transaction documents, and coordinate closings.

Prepare and manage commercial contracts, NDAs, employment agreements, vendor agreements, and other business-related documents under attorney supervision.

Conduct corporate due diligence: review organizational documents, minute books, stock ledgers, UCC filings, liens, and regulatory compliance.

Maintain corporate records, minute books, stock ledgers, and compliance calendars; track deadlines for filings, meetings, and renewals.

Coordinate with clients, outside counsel, registered agents, and government agencies for filings, signatures, and document execution.

Assist with SEC filings, equity incentive plans, stock option agreements, and cap table management as needed.

Perform basic legal research on corporate governance, securities, and business law matters.

Ensure all work complies with applicable laws, ethical standards, and firm policies.

Required Qualifications

Minimum

3–5 years

of paralegal experience in

corporate law , business transactions, or related areas (mid-to-large firm experience preferred).

Strong knowledge of Florida corporate law, entity formation/maintenance, and basic securities/commercial transaction processes.

Proficiency in Microsoft Office (advanced Word/Excel), document management systems (e.g., NetDocuments, iManage), and legal research tools (Westlaw or Lexis).

Exceptional organizational skills, attention to detail, and ability to manage multiple deadlines and priorities.

Excellent written and verbal communication skills with a professional, client-focused approach.
