
Corporate Paralegal

Womble Bond Dickinson (US) LLP is seeking a Corporate Paralegal to join its Atlanta office. This position would be responsible for preparing and filing documents related to the formation, organization, and dissolution of business entities; assisting with corporate transactions, including mergers and acquisitions; and supporting real estate and commercial lending transactions, including coordinating closing documents, signatures, and closing sets.
Responsibilities
Prepare filings with state and federal agencies;
Maintain entity records and minute books;
Conduct UCC lien searches and filings;
Prepare stock certificates and equity ledgers, assisting with Form D and state securities filings, supporting transaction closings;
Assist with document review projects as needed.
Requirements
Must have at least five years’ experience in corporate, real estate, or commercial lending matters, experience in all three preferred;
Prior experience in a mid-sized or large law firm is preferred, and Bachelors degree is a plus;
The ideal candidate will have strong organizational and technical skills, excellent attention to detail;
Must have the ability to work effectively in a collegial, team-oriented environment with multiple attorneys and staff.
