Job Description The Director of M&A Taxation will be responsible for leading M&A due diligence and integration coordinated with strategic tax planning, modeling and forecasting within the company’s global tax footprint. In addition, this position will support the International Tax Reporting and Compliance team with quarterly tax reporting under ASC 740 and review of the Company’s U.S. tax compliance.
Key Responsibilities
Lead tax due diligence and integration activities for potential acquisitions
Assist the Director, International Tax with all workstreams related to potential mergers, acquisitions, and dispositions
Coordinate and implement global tax planning initiatives
Prepare tax analysis, including pros and cons and costs/benefits
Prepare and review step plans and tax technical memorandums
Communicate plans with Director, International Tax and the rest of the broader management team
Work with corporate accounting to prepare business combination entries required under ASC 740
Assist with development and execution of plans for legal entity rationalization and internal reorganization activities
Support the review of the Company’s tax reporting under ASC 740, Accounting for Income Taxes, including computation of the Company’s current, deferred and FIN 48 tax assets and liabilities as reported in the quarterly and annual financial statements. (ASC 740 tax provision)
Support the review of the U.S. federal tax reporting obligations of the Company with a focus on computations for Subpart F, GILTI, FDII, BEAT, 163(j), and Foreign Tax Credits
Strong understanding of Pillar Two rules and ability to assess the impact to the Company’s business operations, tax structure, and financial reporting.
Research, analyze, and document changes to key legislation impacting the Company (i.e., tax reform)
Coordinate with and actively manage external resources assisting with tax planning projects
Establish partnerships with other members of the tax department to ensure departmental objectives are achieved
Provide support where needed on federal, state and local tax audits that require analysis of or pertain to tax planning initiatives implemented by the Company
Requirements
Bachelor’s degree in Accounting or equivalent; Master’s in Taxation and CPA designation preferred
Demonstrated global tax experience with M&A due diligence and integration
8-10 years of total tax experience in a Big Four/national CPA firm, and/or a large U.S. based multinational corporation, including international tax
Strong ASC740 experience required
Compensation Employee Type: Salaried
Salary Minimum: $200,000 +
Salary Maximum: $200,000 +
