We are seeking a sophisticated Midlevel Associate (3–5 years) to join a Tier-1 Capital Markets and Public Companies practice. About the Role As a Capital Markets Associate, you will serve as a key advisor to public companies on their most critical legal and regulatory challenges. You will navigate the intricacies of federal securities laws, execute high-value offerings, and provide high-level counsel on corporate governance. This role offers an elite platform to balance sophisticated transactional work with ongoing strategic advisory for a diverse, global client roster.
Key Responsibilities
Public & Private Offerings:
Lead and execute complex equity and debt capital markets transactions, including IPOs, follow-on offerings, and private placements.
Securities Compliance:
Advise publicly traded entities on SEC reporting, disclosure requirements, and federal securities law compliance.
Corporate Governance:
Provide expert guidance on board matters, stock exchange listing standards, and emerging ESG and shareholder trends.
Strategic Drafting:
Prepare and negotiate principal transaction documents, registration statements, and proxy materials.
Client Relationship Management:
Act as a primary point of contact for C-suite executives and in-house counsel on day-to-day corporate and securities matters.
Requirements
Experience:
3–5 years of experience within a high-caliber, large law firm environment focusing on capital markets.
Technical Expertise:
Proven track record in both equity and debt offerings, as well as public company advisory work.
Skills:
Superior analytical capabilities, sophisticated communication skills, and a meticulous approach to complex legal drafting.
Academic Credentials:
Excellent academic record from a top-tier law school.
Bar Admission:
Must be an active member in good standing of the bar in the jurisdiction for which you are applying.
