Senior Corporate Paralegal

A well-established organization is seeking a Senior Corporate Paralegal to join its in-house legal team in New York. This role will support the General Counsel and legal department in managing a large and complex portfolio of corporate entities and ensuring compliance with corporate governance requirements across the organization.

The ideal candidate will have extensive experience managing high volumes of entities, maintaining corporate records, and supporting governance and transactional matters in a fast-paced environment.

Responsibilities

Manage and maintain a large portfolio of corporate entities using an entity management system, ensuring all records remain accurate and compliant.

Coordinate with corporate service providers to handle state filings, annual reports, and regulatory compliance requirements.

Prepare and file documentation related to entity formations, dissolutions, and structural changes.

Draft and maintain key governance documents including operating agreements, corporate resolutions, minutes, amendments, assignments, and officer certificates.

Maintain and organize corporate records, organizational charts, and governance documentation.

Support corporate transactions by preparing authorizing resolutions, good standing certificates, incumbency certificates, and execution packages.

Assist legal and operational teams with tracking and documenting compliance with statutory and regulatory requirements.

Coordinate document execution and maintain records related to corporate approvals and governance matters.

Qualifications

10+ years of corporate paralegal experience in a law firm or in-house legal department.

Extensive experience managing large and complex entity structures.

Strong background in corporate governance and corporate record maintenance.

Proven ability to manage high volumes of entities simultaneously with strong attention to detail.

Experience preparing and reviewing corporate organizational documents.

Registered Paralegal (RP) certification preferred.
