Role Overview
We are seeking an In-House Counsel with approximately 5+ years of experience and an active U.S. bar membership to support our Hong Kong and U.S. fund operations, provide day-to-day corporate legal support across the group, and manage litigation support matters (including intellectual property and commercial disputes). This is a hands‑on role working closely with internal stakeholders and external counsel to deliver practical, business-oriented legal solutions.
Key Responsibilities
1) Hong Kong / U.S. Fund Legal Support
- Support U.S.(Hong Kong) fund-related legal work across fundraising and ongoing operations (including investor onboarding, KYC/AML workflows, subscription documentation, and side letters).
- Conduct and coordinate legal due diligence and legal reviews for investments, co‑investments, and strategic transactions; prepare issue lists and risk summaries.
- Review, draft, and negotiate fund and investment-related documents, including NDAs, termsheets, subscription documents, side letters, SPV/co‑invest documentation, and closing deliverables.
- Coordinate with external counsel in Hong Kong and the U.S. on fund documentation, regulatory considerations, and execution timelines.
- Maintain and improve internal processes for fund legal reviews, document management, and compliance tracking.
2) Group Corporate Legal (Day-to-Day)
- Provide day-to-day legal support to the group across corporate matters, including commercial contracts, vendor/customer agreements, service agreements, consulting arrangements, and general legal inquiries.
- Support corporate governance and entity maintenance (board/shareholder consents, resolutions, delegations of authority, and corporate recordkeeping).
- Advise business teams on contract risk, operational compliance, and internal policies; develop templates, playbooks, and contracting standards.
- Partner with Finance, Operations, and Business teams on cross‑functional matters, including procurement terms, billing/payment terms, and risk allocation.
- Manage and support dispute matters, including intellectual property disputes (patent, trademark, copyright, trade secrets) and commercial disputes.
- Coordinate strategy, budgets, and communications with external counsel; oversee document preservation, evidence collection, and discovery support.
- Support pre‑litigation assessments, demand/response letters, settlement negotiations, and escalation management.
- Help build internal processes for litigation readiness, legal hold, and dispute tracking.
Qualifications
- J.D. and active member in good standing of at least one U.S. state bar (required).
- 3+ years of relevant experience (law firm and/or in‑house), with meaningful exposure to funds and corporate work.
- Experience supporting U.S. and/or Hong Kong fund matters (fundraising, subscriptions, side letters, investor communications, and/or investment closings).
- Strong drafting and negotiation skills; ability to manage multiple matters with tight timelines.
- Experience managing external counsel and litigation support workflows.
- Pragmatic, business‑minded judgment and clear communication with non‑legal stakeholders.
- Fluency in English; Mandarin is a plus.
Preferred
- Familiarity with private funds regulatory/compliance concepts and investor onboarding (including KYC/AML).
- Experience with cross‑border matters and coordinating multi‑jurisdiction counsel.
- Prior exposure to IP licensing, technology transactions, or product/commercialization agreements.
