Corporate Paralegal

The Corporate Paralegal provides integral support to the legal department by assisting with corporate governance, entity management, transactional documentation, and compliance-related activities. This role partners closely with in‑house counsel and cross‑functional teams to ensure accurate preparation, organization, and maintenance of corporate records and legal documents. Strong organizational skills, attention to detail, and a proactive approach are essential. Key Responsibilities

Prepare, review, and organize corporate legal documents, including resolutions, consents, minutes, and corporate governance materials. Support entity management, including formation, registrations, annual reports, and maintaining corporate records. Assist with due diligence and document organization for corporate transactions, restructurings, and contract negotiations. Maintain digital and physical legal files in alignment with departmental standards and compliance requirements. Track key deadlines, corporate filings, and ongoing obligations to ensure timely completion. Conduct legal and factual research to support corporate projects and internal initiatives. Coordinate communication between legal counsel, internal teams, external counsel, vendors, and regulatory agencies. Provide administrative and project support to the legal department, including scheduling, preparing meeting materials, and managing workflow documentation. Qualifications

Bachelor’s degree or equivalent experience. 2+ years of experience supporting corporate legal functions, in‑house or in private practice. Strong understanding of corporate governance, entity management, and legal documentation. Excellent written and verbal communication skills. Ability to manage multiple priorities and maintain accuracy under deadlines. Proficiency with Microsoft Office; experience with legal entity management software is a plus. Highly organized with strong attention to detail.
