Osage Exchange is a Denver-based financial services and consulting firm specializing in real estate alternative investments. The Opportunity

Osage Exchange operates at the intersection of commercial real estate and alternative investments, supporting large real estate sponsors who raise equity capital through the syndicated 1031 exchange market. This market has experienced significant and accelerating growth — from $5 billion of equity capital raised in 2023 to $8.4 billion in 2025. This growth is driven in part by a powerful demographic tailwind: a wave of Baby Boomer real estate owners seeking to defer taxes while transitioning from active property management to passive investing. Notably, the 1031 UPREIT structure that Osage Exchange specializes in has captured an outsized share of this growth, with the top capital-raising programs in the industry now utilizing this structure.

Osage Exchange is seeking a high-caliber candidate to join its growing team. This is a rare opportunity for a talented transactional attorney to step out of traditional legal practice and into a senior business role at a dynamic, entrepreneurial firm — with compensation that exceeds what most law firm associates earn and a path towards future growth.

The role sits at the center of Osage Exchange's business. Each year, the company oversees 10 - 15 new Delaware statutory trust (DST) launches across its client base, each structured as a Reg. D private placement to accredited investors. This individual will own the project management of each new offering launch from start to finish — coordinating with external legal counsel, reviewing and synthesizing third-party due diligence reports, and overseeing the preparation and finalization of all transaction documentation, including the private placement memorandum (PPM).

This role will report directly to the three Osage Exchange principals and will be a trusted senior member of a small, highly experienced team.

Compensation & Benefits

  • Base salary + profit sharing arrangement: estimated first year compensation of $350,000+ with the potential for meaningful upside as the business grows

Key Responsibilities

DST Offering Launch — Project Management

  • Serve as the internal project manager for each new DST offering launch, coordinating all workstreams from asset selection through offering commencement
  • Conduct weekly all-hands launch calls, prepare and maintain weekly call agendas, and manage timelines, deliverables, and communications across clients, external counsel, and third-party service providers
  • Track 10 - 15+ concurrent and/or sequential offering launches per year across Osage Exchange's client base
  • Develop and refine internal processes and templates to improve efficiency and consistency across offerings

Transaction Documentation

  • Coordinate with clients and external legal counsel on the preparation, review and finalization of all transaction and offering documents, including entity operating agreements, leases, guarantees, loan documentation (if applicable), private placement memoranda (PPMs), subscription agreements and other related materials
  • Draft, review, and redline legal and business documents with precision and attention to detail

Due Diligence Review and Disclosure

  • Review and analyze third-party due diligence reports for each DST property portfolio, including appraisals, property condition assessments, Phase I environmental reports, title commitments, surveys, and zoning reports
  • Identify key risks, disclosure items, and issues of significance from each report
  • Synthesize findings into clear, accurate summaries for inclusion in the PPM

Client Relationship Management

  • Serve as a primary day-to-day point of contact for Osage Exchange clients throughout each offering launch process
  • Build and maintain trusted working relationships with client teams, outside counsel and other transaction parties

Qualifications

Required

  • Juris Doctor (JD) from an accredited law school
  • 5–10 years of practical experience in transactional real estate law
  • Strong drafting, analytical, and written communication skills
  • Demonstrated ability to manage complex, multi-party transactions with competing deadlines
  • Willingness to transition from legal practice into a senior business role (Osage Exchange is not a law firm and does not provide legal services)

Preferred

  • Familiarity with DST structures, 1031 exchanges, and UPREIT programs
  • Experience with Reg. D securities offerings including 506(b) and 506(c) private placements
  • Colorado Bar admission (active or inactive)
  • Experience reviewing commercial real estate due diligence reports (appraisals, PCAs, Phase I reports, title, survey, zoning)
