Position Summary The Transactional Liability Underwriter is responsible for underwriting and managing transactional liability insurance policies connected to mergers and acquisitions. This role focuses on optimizing underwriting strategy, managing portfolio risk, and driving profitable growth through strategic partnerships and customized insurance solutions.

The underwriter collaborates closely with internal stakeholders, analyzes complex transaction documents, monitors regulatory developments, and structures tailored coverage to meet deal‑specific requirements while maintaining profitability and compliance.

What will your job entail? Key Responsibilities

Develop and execute underwriting strategies aligned with Ryan Transactional Risk’s M&A underwriting framework

Manage risk appetite and optimize profitability across assigned accounts and transactions

Identify deal inefficiencies and propose actionable underwriting and tax‑related solutions based on pre‑ and post‑deal tax structures

Provide subject matter expertise in warranties & indemnities (W&I), tax insurance, and contingent risk solutions

Analyze complex legal documents, including purchase agreements, insurance policies, binders, and indemnification terms to assess exposure

Identify potential liabilities and hidden risks to inform underwriting decisions

Structure and tailor policy terms and conditions to meet client and deal‑specific needs while balancing risk and return

Build and maintain strong relationships with brokers, clients, law firms, and transactional partners to drive new business

Collaborate internally to resolve complex underwriting issues and develop mitigation strategies

Monitor changes in transactional liability laws and regulations to ensure ongoing compliance

Research market trends and emerging sectors to support portfolio expansion and innovative product development

Support and mentor junior underwriting staff by sharing underwriting expertise and best practices

Work Experience & Education

Bachelor’s degree required; Master’s degree preferred

Fields such as Business Administration, Finance, Risk Management, or related disciplines

Equivalent professional experience will be considered

Minimum experience requirements:

5+ years

of financial, transactional, or M&A underwriting experience with a Bachelor’s degree

3+ years

of relevant experience with a Master’s degree

Licenses & Certifications

Active

State Property & Casualty (P&C)

and/or

Surplus Lines

license required

Preferred (not required):

Certified Merger and Acquisition Advisor (CM&A)

Registered Professional Liability Underwriter (RPLU)

The target salary range for this position is $136,000.00 - $170,000.00 annually.

The wage range for this role considers many factors, such as training, transferable skills, work experience, licensure and certification, business needs, and market demands. The pay range is subject to change and may be modified in the future. Full‑time roles are eligible for bonuses and benefits.
