Job Title: Corporate Paralegal Responsibilities
Preparation and filing of corporate documents, including articles of incorporation, bylaws, limited liability company agreements and amendments. Conduct legal research to support corporate transactions and compliance matters. Draft and review various legal documents. Maintain and organize corporate records, including minute books and shareholder agreements. Assist with mergers and acquisitions, including due diligence and transaction closings. Prepare and file various regulatory documents with state and federal agencies. Coordinate and manage corporate governance matters, including board meetings and annual shareholder meetings; prepare related written consents. Maintain corporate entity database and prepare reports. Familiarity with public company legal requirements. Communicate with clients, regulatory agencies, and other stakeholders as needed. Stay updated on changes in corporate law and regulations. Qualifications
Bachelor\'s degree in paralegal studies, Legal Studies, or a related field. Minimum of 5 years of experience as a paralegal, preferably in a corporate law setting. Strong understanding of corporate law and regulatory compliance. Proven track record in handling complex corporate transactions and compliance issues. Proficient in legal research tools and Microsoft Office Suite. Excellent written and verbal communication skills. Detail-oriented with strong organizational and time management abilities. Ability to work independently and collaboratively within a team. Ability to be flexible and pivot as needed. Preferred Skills
Certification from a recognized paralegal association (e.g., NALA, NFPA). Experience with entity management systems and electronic filing software. Benefits

The base salary range for this position is: $61,360 - $110,400. The base salary range above represents the low and high end of the salary range for this position. Actual salaries will vary based on several factors including but not limited to location, experience, and performance. The range listed is just one component of the total compensation package for employees. Other rewards may include annual bonus, short- and long-term incentives, and program-specific awards. In addition the position may be eligible to participate in the benefits program which include, but are not limited to, medical, vision, dental, 401K, and flexible spending accounts. EEO Statement:
