We are seeking an experienced
Corporate Paralegal
to support for one of our legal clients in the corporate and real estate practice groups. The ideal candidate will possess strong organizational skills, attention to detail, and extensive experience assisting with commercial real estate transactions, mergers and acquisitions, and land-use and development projects. This role works closely with attorneys and clients to ensure efficient, accurate, and timely handling of complex transactional and regulatory processes.
Key Responsibilities of the Corporate Paralegal
Assist attorneys in all aspects of commercial real estate transactions, mergers and acquisitions, commercial lending, and closings, including document preparation, title and survey review, due diligence coordination for mergers, acquisitions, and other corporate transactions, and closing management.
Prepare and organize entity formation documents (corporations, LLCs, partnerships), maintain corporate records and minute books, and prepare annual filings.
Manage and facilitate real estate closings, including drafting closing checklists, coordinating execution of documents, and ensuring all instruments are properly recorded and distributed.
Support attorneys and clients with land-use and development matters, including municipal filings, permitting, and zoning board applications.
Conduct and summarize corporate and real property due diligence, including UCC searches, lien and litigation searches, and organizational document review.
Maintain transaction files, timelines, and project trackers to ensure smooth project execution.
Conduct legal research on statutes, ordinances, regulations, and industry standards using tools like Westlaw.
Communicate directly with clients, lenders, title companies, engineers, and municipal officials as needed.
Qualifications of the Corporate Paralegal
Bachelor’s degree or paralegal certificate preferred.
Minimum 5+ years of experience as a corporate or real estate paralegal in a law firm or in-house legal department.
Thorough knowledge of real estate closing procedures, corporate governance, and land-use filings.
Strong proficiency with Microsoft Office Suite, document management systems (preferably NetDocs), and electronic closing platforms.
Excellent organizational and communication skills.
High level of professionalism, ability to maintain strict confidentiality, and client service orientation.
Demonstrated ability to work independently and as part of a team.
Ability to manage multiple projects and work collaboratively in a fast-paced environment.
Flexibility to travel between the different offices of the firm as needed to support attorneys and matters.
