The Capital Markets Legal team works on complex and novel transactions and projects including for its Broker Dealers, as well as, M&A Advisory, Equity and Debt Capital Markets, Sales, Research and Trading, and Capital Solutions businesses.

Responsibilities include:

Acting as a strategic partner to the Commercial Bank Capital Markets business

Advising on complex and novel capital markets legal issues

Interpreting and providing guidance on existing agreements and obligations

Managing and coordinating outside counsel

Working closely with partners across the company to identify legal and reputational risks, interpreting applicable laws and regulations, delivering grounded legal assessments and providing thoughtful and practical solutions and recommendations

Basic Qualifications:

Juris Doctor from an accredited law school

Active member in good standing of at least one state bar

At least 4 years of experience as an attorney in a law firm, at a government agency, as a military judge advocate or as in-house counsel

Preferred Qualifications:

5+ years of experience as an attorney in a law firm, in-house legal department and/or governmental experience or a combination

Familiarity with capital markets transactions, securities documentation and due diligence

Willingness to learn, have an ownership mentality and exhibit a can-do attitude

Strong legal and analytical skills, an ability to navigate unique legal and business situations and the flexibility to simultaneously manage a wide range of projects

This role is hybrid meaning associates spend 3 days per week in-person at one of our offices listed on this job posting.

McLean, VA: $200,700 - $229,100 for Sr. Manager, Sr. Counsel

New York, NY: $219,000 - $249,900 for Sr. Manager, Sr. Counsel

Candidates hired to work in other locations will be subject to the pay range associated with that location, and the actual annualized salary amount offered to any candidate at the time of hire will be reflected solely in the candidate’s offer letter.

This role is also eligible to earn performance based incentive compensation, which may include cash bonus(es) and/or long term incentives (LTI). Incentives could be discretionary or non discretionary depending on the plan.
