We are seeking a highly organized and detail oriented Corporate Paralegal to support our legal team in managing a wide range of corporate governance, compliance and transactional matters. The ideal candidate will play a key role in maintaining corporate records, preparing legal documentation, supporting business transactions and ensuring ongoing compliance with applicable laws and regulations.
Qualifications
Prepare, file and maintain formation documents for corporations, LLC and other business entities across multiple jurisdictions.
Draft and maintain corporate governance documents, including by law, operating agreements, board resolutions and shareholder consents
Prepare and distribute board of directors and committee meeting materials, including agendas, minutes and supporting documentation
Excellent Communication and interpersonal skills to collaborate with legal teams and other departments
Strong Research skills to interpret legal documents and regulatory requirements
Bachelor’s degree in Legal Studies, Paralegal Studies, or a related field
Certification as a Paralegal is highly preferred
Experience in the petroleum or energy industry is a plus
Compliance and Regulatory Filings
Monitor and ensure compliance with federal, state, and local corporate regulations
Prepare and file annual reports, statements of information and other required filings with government agencies
Track and manage deadlines for compliance obligations and regulatory requirements
Assist with internal compliance programs and audits
Contract Management
Draft, review and revise standard corporate agreements, including non-disclosure agreements, vendor contracts etc.
Maintain contract databases and ensure proper execution, storage and retrieval of legal documents
Monitor contract lifecycles, including renewals, expirations and key obligations
Mergers, Acquisitions and Transactions
Support due diligence efforts by organizing and reviewing corporate records and documents
Prepare due diligence checklist and summaries
Assist in drafting and assembling transaction documents and closing binders
Coordinate document execution and closing logistics
Legal Research and Administrative Support
Conduct legal research on corporate governance, compliance requirements and regulatory matters
Assist with special projects and other legal administrative tasks as assigned
Qualifications
Bachelor's degree or paralegal Certificate from an accredited program preferred
2 years of experience as a corporate paralegal or in a related legal role
Strong knowledge of corporate governance and business entity structures
Experience with entity management software and document management systems
