Trustpoint.One has joined forces with a premier AmLaw Firm in their search for a Corporate Paralegal. Our client is at the forefront of complex, high-stakes corporate matters and are seeking an exceptional Corporate Paralegal with deep experience, sharp judgment, and the ability to operate with autonomy in a fast-paced, sophisticated legal environment.

This is a high-impact role supporting attorneys and institutional clients on domestic and international corporate matters, including entity formation, governance, and transactional work.

The Opportunity As a trusted partner to leading attorneys, you will play a critical role in structuring and maintaining corporate entities, supporting major transactions, and ensuring seamless compliance across jurisdictions. This position offers meaningful responsibility, direct client interaction, and the opportunity to work on complex, cross-border matters, along with a hybrid work week.

Key Responsibilities

Lead the formation and maintenance of corporations, LLCs, and partnerships across U.S. and international jurisdictions

Draft and manage core corporate documents, including organizational documents, operating agreements, resolutions, and certificates

Oversee corporate minute books, share certificates, and governance records

Coordinate multi-jurisdictional filings with Secretaries of State, registered agents, and governmental authorities

Support M&A transactions, financings, and corporate restructurings

Manage entity qualifications, dissolutions, and ongoing compliance requirements

Prepare and file EIN (SS-4) applications

Handle legalization, authentication, and apostille processes for cross-border matters

Collaborate with local counsel and international partners on global entity work

Serve as a key point of contact for institutional clients and operating partners

Develop and maintain internal tracking systems for corporate actions and deadlines

Supervise and mentor junior team members and support staff

What Sets You Apart

6+ years of corporate (and/or commercial real estate) paralegal experience in a law firm environment

Advanced knowledge of entity formation, governance, and compliance frameworks

Proven ability to manage complex matters with minimal supervision

Exceptional drafting, organizational, and analytical skills

Strong command of Microsoft Office (Word, Excel, Outlook)

Demonstrated ability to anticipate attorney needs and exercise sound judgment

Experience working across multiple jurisdictions and with international entities

A proactive, detail-oriented mindset with the ability to thrive under pressure

Qualifications

High School Diploma or GED required

Bachelor’s degree and/or Paralegal Certificate strongly preferred
