Job Description The Strategic & Commercial Transactions (SCT) team within Law and Regulation is seeking a transactional attorney to support a broad and dynamic portfolio of strategic, commercial, and corporate matters. This role is well suited for a motivated attorney looking to develop a strong foundation in transactional law while working closely with experienced in house counsel and business stakeholders. The SCT provides legal and regulatory advice and support in connection with negotiating, closing, and administering various strategic and commercial transactions and relationships throughout the enterprise, including corporate mergers, acquisitions, dispositions, venture capital investments, strategic partnerships, real estate leasing and related matters, intercompany agreements, non-profit matters for the Allstate Foundation, and vendor transactions such as marketing and sponsorship agreements, professional service agreements, and technology agreements for all types of goods and services. Key Responsibilities Provide real time, business-focused commercial legal advice on commercial contracts, including non-disclosure agreements, marketing agreements, SaaS and other technology agreements, real estate leases, and contract amendments. Supports senior counsel on M&A, venture capital, and enterprise initiatives Identify potential issues related to data, privacy, and intellectual property for referral to, and collaboration with and escalation to internal subject matter experts. Effectively collaborate with cross-functional teams such as Finance, Facilities, Risk and Compliance, Privacy, Security, IT, HR, and within Legal to identify and solve problems, build partnerships, and complete commercial transactions Anticipate legal concerns and provide creative problem solving in a dynamic business environment. Contribute to the development of templates, playbooks, and process improvements to support efficient contract review and negotiation. This is a remote role with travel expectations. While candidates may be located anywhere in the U.S., travel will primarily be to Chicago/Northbrook, IL, due to team collaboration and business travel considerations. Education Juris Doctorate from an accredited institution and active state bar license in good standing. Experience 3 to5 or more years of experience within commercial contracts, corporate transactions, technology agreements, or marketing/vendor relationships.
