Job Summary Our client is seeking a Capital Markets Associate with 4–8 years of experience to support debt and equity offerings, SEC reporting, and cross-border transactions. This role is suited for someone who wants to take ownership of transactions, work directly with clients, and manage deals from initial structuring through closing. You will be working across issuer and underwriter representations in a practice that continues to expand its client base.
Position Impact You will take the lead on capital markets transactions, managing deal execution from start to finish while working closely with partners and clients. Your work will directly influence transaction timelines, regulatory compliance, and client outcomes across multiple offerings. This role provides a clear path to increased responsibility, with exposure to high-value deals and direct involvement in practice growth.
Key Responsibilities
Draft and review offering documents including registration statements and prospectuses
Prepare and file SEC reports including 10-K, 10-Q, 8-K, and proxy statements
Manage due diligence processes across capital markets transactions
Run deal execution from initial structuring through closing
Advise clients on SEC compliance and corporate governance matters
Coordinate with internal teams and external stakeholders across transactions
Required Qualifications
4–8 years of capital markets experience at a law firm
Experience managing full deal cycles from start to finish
Experience with SEC reporting and public offerings
Experience representing issuers and/or underwriters
JD from an accredited law school
Licensed in New York or Massachusetts (or eligible upon hire)
