Corporate Paralegal

Location: Wilmington, MA Full Time

Position Overview The Corporate Paralegal will support the legal department across corporate governance, entity management, SEC reporting, and M&A activity. This individual will play a key role in maintaining corporate records, supporting board level activities, and assisting with strategic transactions.

Key Responsibilities Corporate Governance and Entity Management

Maintain domestic and international subsidiary records, including formation documents, bylaws, operating agreements, and organizational charts.

Manage annual filings, qualifications, withdrawals, and other corporate compliance requirements.

Prepare board and shareholder materials, including resolutions, written consents, and meeting documentation.

Support corporate secretary functions, including maintaining minute books and records.

Compliance and Reporting

Assist in the preparation, drafting, and review of SEC filings, including 10-K, 10-Q, and 8-K.

Coordinate cross‑functional inputs for quarterly and annual reporting processes.

Support proxy statement preparation, including questionnaires and data tracking.

Assist with Section 16 reporting, including Forms 3, 4, and 5.

Help manage internal compliance initiatives, policies, and training schedules.

Transactional Support

Assist with mergers, acquisitions, and other strategic transactions.

Support due diligence efforts, including data room organization and document tracking.

Prepare signature packets and manage closing documentation and checklists.

Assist with post‑closing integration and document management.

General Legal Support

Provide administrative and project support to the legal team.

Serve as a point of contact for internal stakeholders.

Support notarization of company documents as needed.

Qualifications Required

Bachelor’s degree or equivalent experience.

4 to 6 years of corporate paralegal experience.

At least 2 years supporting public company governance or SEC filings.

Strong understanding of corporate governance compliance and transactional processes.

Highly organized with strong attention to detail.

Ability to manage multiple priorities in a fast‑paced environment.

Proficiency in Microsoft Office.

Preferred

Paralegal certification.

Notary certification.

Experience with proxy statements and Section 16 reporting.

Base Salary Range

$93,600.00 - $140,400.00, offered in good faith and based on experience, location, and qualifications.
