
Corporate Paralegal

Frontline Source Group is seeking a highly organized and detail‑oriented Corporate Paralegal on behalf of a rapidly growing, innovation‑driven organization preparing for a significant public market transition. This hands‑on role supports legal operations, corporate governance, and compliance during a critical phase of organizational growth. This position is ideal for a proactive professional who thrives in a fast‑paced, entrepreneurial environment and enjoys working closely with executive leadership and outside counsel on high‑stakes corporate matters.
Key Responsibilities Corporate Governance & Board Support
Prepare and maintain corporate records, including board minutes, resolutions, written consents, and committee documentation
Coordinate board and shareholder meetings, including scheduling, materials preparation, and follow‑ups
Maintain corporate minute books, governance records, and organizational documents
Support the development of corporate governance policies and procedures in preparation for public company standards
SEC Compliance
Support preparation and timely filing of SEC documents, including 8‑K, 10‑Q, and 10‑K filings
Assist with drafting, proofreading, and compiling disclosure documents, earnings releases, and proxy materials
Maintain a filing calendar to ensure all SEC and regulatory deadlines are met
Coordinate with outside legal counsel on compliance requirements and disclosure obligations
Support documentation including data room management and investor due diligence coordination
Equity & Corporate Compliance
Assist in administration of equity programs, including stock option grants, vesting schedules, and cap table updates
Support 409A valuation processes and equity‑related board approvals
Help maintain internal policies and procedures aligned with public company compliance expectations, including SOX readiness
IP & Contract Administration
Organize and maintain legal documents, contracts, NDAs, and agreements
Support IP administrative functions alongside outside patent counsel, including patent docket maintenance and filing coordination
Assist with indemnification agreements, officer and director documentation, and related corporate records
Legal & Operational Support
Support due diligence efforts related to financing and corporate transactions
Track key corporate deadlines and compliance requirements across multiple workstreams
Assist with special projects related to corporate structuring and operational scaling
Qualifications
Bachelor's degree or Paralegal Certificate required
3‑6+ years of experience in corporate paralegal or legal operations, preferably in a high‑growth environment
Experience supporting corporate governance and board processes
Exposure to SEC filings, public company compliance required
Proficiency in MS Office and SharePoint; familiarity with data room platforms a plus
High level of discretion, exceptional attention to detail, and ability to manage multiple priorities
Preferred Experience
Familiarity with SEC filing requirements, including 8‑K, 10‑Q, 10‑K, and S‑1 documentation
Experience with equity administration, cap table management, and 409A processes
Background in startup, deep tech, energy, biotech, or technology environments
Exposure to IP‑heavy organizations and coordination with patent counsel
