The Corporate Paralegal provides enterprise operational support to the legal department in matters involving contracts and the contract management process, corporate governance, business transactions, projects, and legal research.
ESSENTIAL DUTIES AND RESPONSIBILITIES

Collaborate with and support Pediatric Associates Family of Companies on matters related to board and corporate governance including, but not limited to; coordinating, preparing for and attending board and committee meetings as assigned. Manager and maintain corporate records, including state formation and qualification documents, business registrations, and annual filings with the Secretary of State and other governmental agencies. Prepare, revise, and review contracts, statements of work, employment agreements, or regulatory filings in collaboration with senior legal department personnel, and in accordance with attorney-approved templates. Provide support as a system administrator to the Legal Counsel, Contract Administration for the enterprise’s contract lifecycle management system. Assist Legal Department attorneys with data room preparation and maintenance in support of due diligence review for business transactions, including mergers and acquisitions. Review contracts for essential terms, conditions, assignment, and compliance requirements, and compile detailed contract summaries and analysis in spreadsheets to support business team review during due diligence for business transactions. Prepare, edit, organize and finalize legal documents and correspondence. Create and maintain department shared files. Provide support on various ongoing projects at the direction of the attorneys, ensuring deadlines and objectives are met. Perform other duties as assigned by attorneys in the Legal Department. QUALIFICATIONS
EXPERIENCE
Minimum 5 years’ experience as a paralegal with contract management experience required REQUIRED EDUCATION
Associates and/or Paralegal Certification required LICENSES, CERTIFICATIONS, AND OTHER REQUIREMENTS
CLA/Paralegal Certification and/or equivalent Degree preferred KNOWLEDGE, SKILLS AND ABILITIES
Prior healthcare experience preferred. Experience in administering contract lifecycle management software preferred. Ability to take initiative in caring out routine assignments covered by established procedures and consults with Legal Department attorneys when unusual problems are encountered. Independent, high-level discretion, judgment and decision making. Strong analytical and problem-solving skills with great attention to detail; ability to prioritize tasks. Experience in analyzing, reviewing, drafting and processing contracts, statements of work, and business proposals. Flexibility and ability to effectively perform in a fast-paced environment, and responsive to multiple requests with a strong sense of urgency. Advance level of proficiency in Microsoft Office applications including Word, PowerPoint, Excel, Vizio and other windows applications. Strong verbal and written communication skills. Excellent interpersonal skills and ability to interact effectively with all tenure levels and across departments and business units. Highly dependable, professional integrity, good judgment, and respect for confidentiality . TYPICAL WORKING CONDITIONS
