Governance and Shareholder Advisory Account Director or Vice President
Location: New York City, Hybrid. Minimum two days per week in office required.
Position Overview
The Account Director or Vice President is a mid-level, client facing role within the Governance and Shareholder Advisory practice. This position is ideal for professionals with approximately 5 to 7 years of experience in corporate governance, proxy advisory, shareholder engagement, investor relations, activism advisory, or management consulting.
This role reports directly to the Global Head of the Governance and Shareholder Advisory practice and works closely with senior leadership across client engagements. The role combines independent analytical responsibility with day-to-day client management. The Account Director leads core workstreams, contributes to governance and shareholder strategy, and supports activism defense and shareholder engagement initiatives while continuing to develop toward broader strategic leadership.
Key Responsibilities
Client and Project Management
Serve as primary day to day contact for assigned public company clients
Manage timelines, deliverables, and coordination across internal teams
Prepare client ready materials including governance assessments, vote projections, board presentations, and shareholder engagement briefings
Ensure quality control, accuracy, and strategic alignment across engagements
Corporate Governance and Voting Policy Analysis
Conduct governance benchmarking and vulnerability assessments
Analyze proxy advisory frameworks and market standards
Evaluate institutional investor voting policies in the context of a client’s shareholder base and ownership profile
Assess likely voting outcomes based on investor guidelines, historical voting behavior, and peer benchmarking
Support advisory work related to board composition, executive compensation, shareholder rights, and governance disclosures
Translate governance and voting analysis into clear, practical recommendations aligned with institutional investor expectations
Shareholder Engagement and Activism Defense
Support development and execution of shareholder engagement strategies
Prepare investor research, shareholder profiles, and outreach materials
Analyze voting trends, investor policies, and ownership data to inform engagement planning
Contribute to activism defense preparedness through research, scenario analysis, and strategic support in contested or high scrutiny situations
Strategic and Financial Integration
Link governance and executive compensation analysis to financial performance and shareholder value considerations
Apply understanding of capital markets dynamics and pay for performance alignment
Incorporate investor sentiment and market intelligence into client recommendations
Team Collaboration and Developm
Supervise and mentor Associates where appropriate
Review and elevate junior work product for analytical rigor and clarity
Contribute to a collaborative, accountable, and high performance team culture
Qualifications
5 to 7+ years of relevant experience in corporate governance, proxy advisory, investment stewardship, investor relations, executive compensation consulting, activism defense, or related advisory roles
Strong working knowledge of corporate governance frameworks and institutional investor voting guidelines
Experience analyzing shareholder ownership structures and forecasting voting outcomes
Experience preparing materials for executive leadership and board level discussions
Ability to manage multiple priorities in a deadline driven environment
Excellent written and verbal communication skills
Bachelor’s degree required. Advanced degree such as JD or MBA is a plus

Account Director Salary Range - $95,000 - $120,000
Vice President Salary Range - $120,000 - $150,000
