Overview
Elevate is working with a leading U.S. law firm to support a contract-to-hire Corporate Paralegal position within the Healthcare, Life Sciences and Education department. This role supports attorneys and senior paralegals on a wide range of corporate legal matters and plays an integral part in the successful execution of client transactions. The Corporate Paralegal will provide hands on support throughout the lifecycle of corporate matters, including entity formation and maintenance, transaction management, and contract review. This position requires strong attention to detail, sound judgment, and the ability to manage multiple priorities in a fast-paced legal environment. Responsibilities
Experience providing transactional paralegal support across industries for multimillion and billion‑dollar mergers, acquisitions, divestitures, joint ventures, and strategic alliances. Drafting corporate formation documents, amendments, dissolutions, and maintaining corporate records. Managing transaction related tasks, reviewing contracts, and assisting with due diligence materials and closing documentation. Preparing and filing incorporation and organizational documents, conducting name availability searches, maintaining corporate minute books, and completing required registrations, filings, and elections. This role carries an annual billable hour expectation of approximately 1,500 hours. Qualifications
Candidates should have three to five years of relevant paralegal experience, preferably in corporate, healthcare, life sciences, or education focused practice. An associate’s degree is required, with a bachelor’s degree or paralegal certificate preferred. The ideal candidate will have experience working in a law firm or professional services environment and demonstrate strong organizational, communication, and problem-solving skills. Must be comfortable managing multiple matters simultaneously, working collaboratively with attorneys and legal teams, and handling clients facing responsibilities with professionalism and discretion.
