Overview Penguin Random House, home to genre-defining children’s literature, seeks counsel to join our legal team in New York. We are looking for a bright, proactive, business-minded and motivated attorney who will be a trusted business partner for various corporate groups, providing creative, collaborative, solution-oriented advice and general commercial counsel. For this role, the focus is on commercial agreements, licensing, mergers and acquisitions and other corporate transactions, and compliance. This is a hybrid position requiring three days per week in our offices at 1745 Broadway in New York City, with consideration for candidates who can work from a commutable distance in the tri-state area (NY, NJ, CT, PA).
Responsibilities Assist with the legal and intellectual property aspects of the company’s M&A transactions, including due diligence, negotiating transaction documentation, and coordinating with external counsel
Draft, review and negotiate a wide range of commercial contracts in support of the company’s corporate groups, including sales, technology (including SaaS), licensing, digital platforms, production, vendor, advertising, non-disclosure, merchandising, distribution, and partnership deals
Support the delivery of advice to commercial teams on a variety of legal issues and compliance matters
Provide strategic analysis of legal and brand risks and help set policies and solutions to achieve business objectives efficiently
Draft and update consumer and other third-party-facing terms and guidelines
Work with members of the Legal Team to develop and improve forms, processes, and procedures, and assist with tools and strategies to help the business scale
Qualifications Juris Doctor (JD) degree
Member, in good standing, of at least one U.S. State Bar
3–5 years of experience at a law firm or in-house legal department
Proven experience representing corporations in commercial transactions and general business law
Excellent verbal and written communication skills and the ability to communicate effectively at all levels
Results-driven; experience leading strategic projects and advising on business practices is preferred
Strong teamwork and ability to work cross-functionally in a complex organizational structure
Solid risk assessment capabilities in rapidly evolving regulated areas
Ability to learn business requirements quickly, analyze legal and commercial risks, and propose creative, business-oriented solutions
Bilingual English/Spanish is a plus but not required
Compensation and Benefits The expected base salary range for this position is $140,000 – $170,000. All positions are eligible for annual profit award or bonus, subject to company results.
