What You’ll Do
Broad transactional coverage of the Firm’s fixed income asset backed lending, securitization, and structured finance businesses within the Deutsche Bank Investment Bank.
Support multi‑strategy businesses that originate, purchase, trade in, make markets and advise on and/or securitize large positions in commercial and residential mortgages, mortgage related securities, aircraft, consumer and auto loans, collateralized loan obligations (CLO), Asset Backed Securities (ABS), and other loan products.
Solid experience in warehouse lending transactions, capital markets, asset acquisition, ABS, CMBS, Residential Mortgage‑Backed Securities (RMBS), CLO, aircraft, consumer, auto and other asset‑backed transactions.
Experience representing underwriters, issuers, and managers in a wide range of ABS, CMBS, RMBS, CLO, aircraft, consumer, auto and other asset‑backed financings including registered public offerings, exempt transactions, and international and domestic offerings.
Draft, review, and advise on a wide variety of lending documents, structured finance, warehouse lending transactions and other related loan products. Experience with certain derivatives transactions and swaps coverage is also a plus.
Advise the trading and structuring groups in relation to the legal and regulatory framework governing the securities and structured finance markets, including without limitation the Securities Act of 1933, the Securities Exchange Act of 1934 and Dodd‑Frank.
How You’ll Lead
Provide advice to senior Legal Department management on transactional legal requirements, best practices and technology tools and solutions.
Collaborate with colleagues globally in the Bank’s Legal Department, Technology Data & Innovation (TDI) function and other infrastructure functions.
Skills You’ll Need
Familiarity with Dodd‑Frank and other securities laws and regulations governing the structured finance market including broker‑dealer regulations and the Volcker Rule (a plus but not required).
Moderate experience and, if possible, in‑house counsel experience, New York qualified and proven ability to work independently.
Admission to the New York State Bar or otherwise qualified to practice law in New York as registered in‑house counsel.
Excellent judgment and ability to advise on legal risks and requirements within a business context.
Excellent interpersonal, written and oral communication skills.

Work autonomously with various structuring groups to structure transactions that achieve internal and/or client objectives and manage multiple transactions on accelerated schedules.
Prior in‑house or law firm experience with financial services is a plus.
Ability to collaborate, cooperate and work well with others in a supportive and respectful manner.
Ability to handle and strategically prioritize numerous projects and tasks.
Experience operating in a fast‑paced business environment.
Expectations It is the Bank’s expectation that employees hired into this role will work in the New York office in accordance with the Bank’s hybrid working model. The salary range for this position in New York City is $170,000 to $308,000. Actual salaries may be based on a number of factors including, but not limited to, a candidate’s skill set, experience, education, work location and other qualifications.
