Overview
We are currently seeking a Mid-Level Corporate Paralegal with specialized experience in Capital Markets & Public Companies to join our team. This position can be based in any of our U.S. offices. Responsibilities
Key responsibilities include handling matters related to Capital Markets and Public Companies. The ideal candidate will have experience with IPOs and public company operations, including preparing registration statement numerical backup spreadsheets, managing beneficial ownership tables, overseeing compliance with the 34 Act, Section 16 reporting, and handling Rule 144 and legend removal letters. Additional duties involve onboarding transfer agents, preparing stock exchange applications, submitting FINRA filings, managing selling stockholder matters, and coordinating closing documents, closing volumes, and board resolutions and minutes. Qualifications
Exemplary communication, research and organizational skills. The ability to multi-task in a highly demanding, deadline driven environment. Comfort working alongside AI tools and a curiosity to continuously learn and adopt new ways of working as technology evolves. Experience working in a large corporate setting or law firm preferred. Substantial experience with Excel spreadsheets. A four-year degree and/or a paralegal certificate from an ABA-approved program. 3+ years of corporate and transactional experience. A discretionary bonus for eligible employees may also be available based on performance.
