We are looking for a Tax Senior, OR Tax Supervisor, Merger and Acquisition Services to join the Merger and Acquisition (M&A) Services team. This position has the opportunity to sit remotely, or the selected candidate can sit hybrid out of any of our US locations. Responsibilities are, but not limited to: Lead day-to-day processes for buy-side and sell-side tax due diligence engagements. Review federal tax filings to identify exposures, risks, and tax structuring opportunities. Quantify identified tax risks and assist in developing purchase price adjustments and indemnification recommendations. Prepare transaction step decks to illustrate proposed deal structures. Prepare excel based tax models illustrating transaction tax consequences, including making whole payments, step-ups, basis adjustments, and cash tax impact. Review and analyze tax-related provisions in purchase agreements. Manage multiple concurrent deals in a fast-paced environment with compressed timelines. Supervise and mentor associates, review workpapers, and provide technical guidance. Qualifications
The ideal candidate must: Have a minimum of 3+ years of experience in federal tax and/or mergers and acquisitions Have a bachelor's degree from an accredited college/university Possess a licensed CPA, EA or JD/LLM with in Taxation required Possess knowledge of US federal tax laws corporate, individual, trust, gifts, and partnership taxation Possess excellent research, writing, and verbal communication skills Be highly motivated Possess outstanding analytical, organizational and project management skills Be proficient in Microsoft Office Applications, particularly Microsoft Excel Work cooperatively in teams
