Job Summary UDC’s Corporate Paralegal will report to UDC’s VP, Deputy General Counsel and provide comprehensive legal and administrative support as part of a highly collaborative team. This role is responsible for assisting with governance, securities, commercial contracting, and compliance initiatives. It will partner closely with internal stakeholders to support day‑to‑day operations and manage legal risks and will support both U.S.-based and international clients and operations as well as members of the UDC legal team. The ideal candidate is detail‑oriented, highly organized, and a self‑starter, capable of managing multiple priorities and deadlines in a fast‑paced, dynamic environment.
Key Responsibilities Commercial Contracting
Draft, review and manage agreements and amendments under attorney supervision, with an emphasis on NDAs, supplier contracts, consulting arrangements and intercompany agreements.
Build out and maintain contract template repository and assist with contract lifecycle tracking and renewals.
Ensure proper execution, filing and organization of legal agreements and documents.
Compliance
Develop, implement and oversee policies, licensing programs, procedures and training to promote compliance and mitigate risk.
Maintain accurate compliance records and assist in audits to demonstrate adherence to regulatory requirements.
Provide due diligence and transaction support for corporate transactions, including investments made by the Company’s venture capital group, UDC Ventures.
Governance / Securities
Assist in aggregating data and drafting materials for the Company’s SEC and Nasdaq filings.
Support in the preparation for Board and committee meetings, drafting of minutes, resolutions and consents and Section 16 filings, legal entity and records management, and other governance matters.
Assist with annual stockholder meeting preparation and preparing and distribution of D&O questionnaires.
Prepare and file corporate formation documents, annual reports, and other regulatory filings and surveys for subsidiary and affiliate companies.
Support administration of Company’s policies and procedures, including Board & Committee charters, insider trading policies and annual compliance requirements.
Other
Participate in and assist with management of Legal Department and Companywide projects and deliverables, as requested.
Qualifications
Bachelor’s degree required; paralegal certification from an ABA‑accredited program preferred.
Minimum of 5 years of experience as a corporate or transactional paralegal. Prior in‑house experience with a public company preferred.
Experience with governance, securities, commercial contract drafting / negotiation, and/or regulatory compliance a plus.
Proficient in Microsoft Office Suite; technologically savvy and possesses a willingness to use technology to continually create efficiencies in legal‑related processes and workflows.
Strong written and verbal communication skills.
