Commercial Real Estate Attorney

A boutique Law Firm, located in the heart of Midtown, is seeking an experienced attorney with a strong background representing lenders in sophisticated real estate finance transactions to join an expanding Practice. Responsibilities: Represent institutional and private equity lenders in the financing of commercial and mixed-use properties, from deal inception through closing. Draft and negotiate senior, subordinate, mezzanine, preferred equity, and other financing documents across the capital stack. Structure and document senior mortgage, junior mortgage, mezzanine, construction, bridge, and balance sheet loans, as well as participation and note-on-note financings. Review and revise organizational documents of borrowing entities. Draft, review, and negotiate commitment letters, term sheets, fee letters, credit agreements, ancillary loan documents, modifications, forbearance agreements, estoppels, SNDAs, intercreditor and co-lender agreements, and related instruments. Oversee real estate secured finance transactions, workouts, and restructurings. Review title reports and surveys, and manage title clearance processes. Qualifications: 5–15 years of experience in commercial real estate finance, primarily representing lenders. Excellent legal drafting, negotiation, and analytical skills.
