POSITION SUMMARY Reporting to the Chief Legal Officer, the Corporate Paralegal will have a strong understanding of corporate governance, associated knowledge management, and strong cross-functional skills to collaborate across teams and departments. This position will also provide transaction support related to M&A, joint venture, and venture capital investment activities. As the nucleus of a growing team, the Corporate Paralegal will have direct interaction with executive management, and necessarily contribute to a broad range of projects across a diverse organization and master new areas of expertise.

SUCCESS LOOKS LIKE:

Internal stakeholders understand the status of their matters because the Paralegal is able to effectively project manage and elevate highest priority initiatives to the CLO

Fostering sound mid-level decision-making, cross-functional solutions throughout the organization

Persisting through obstacles, using a blend of ingenuity and technology to consistently deliver high-quality work product that meets and exceeds expectations

OBJECTIVES

Support corporate governance efforts in an entrepreneurial environment for a fast-growing number of entities, both in the U.S. and internationally

Help create and maintain organizational documents; resolutions, consents and delegations; company org chart; inter-company agreements; and the like

Provide transaction support for M&A, joint venture, and venture capital investment activities

Organize closing documents and binders, and docket post-execution obligations

Serve as important point of contact for the legal team with respect to corporate information and documentation

Assist with generating NDAs, client contracts, and other agreements from templates

Help manage document flow, and field questions regarding contract approvals, delegations of authority, and signing authority

Coordinate cross-functionally with other departments and teams across the organization

Provide administrative assistance to the Chief Legal Officer

COMPETENCIES

Experience managing or assisting with corporate governance matters for U.S. and international subsidiaries and affiliates

Driven and self-motivated with a strong desire for learning

Extremely organized with a strong sense of priority, urgency and commitment to deadlines

A practical, business-oriented and service-minded approach

Superior communication skills with the ability to distill complex legal concepts into simple, actionable recommendations

EDUCATION AND EXPERIENCE

Paralegal Degree or Certification required; Bachelor’s Degree preferred

5-10 years of corporate legal experience in a law firm or in-house setting
