We’re supporting a confidential search for an experienced
Corporate Paralegal
to assist with corporate governance, entity management, transactional closings, and securities-related filings.
This role is ideal for someone with corporate or transactional paralegal experience who enjoys owning filings, managing deadlines, and supporting complex legal work in a fast‑paced, professional environment.
Key Responsibilities
Prepare and file corporate documents related to entity formations, governance, and restructuring
Support mergers, acquisitions, and other transactions, including managing closing checklists and closing documents
Maintain corporate records such as minute books, capitalization tables, and equity ledgers
Assist with securities filings, including Form D and Section 16, and manage related deadlines
Conduct UCC searches, blue sky research, and regulatory filings
Support due diligence efforts, data rooms, and transaction documentation
Assist with equity administration, stock issuances, and option tracking
Support investor documentation and EDGAR access administration
Qualifications
Experience in corporate and transactional legal support, preferably in a law firm or corporate setting
Strong knowledge of corporate governance and securities compliance
Highly organized with excellent attention to detail and time management skills
Able to manage multiple priorities with minimal supervision
Proficient in Microsoft Office and legal technology tools
Paralegal certificate or equivalent experience preferred
Compensation:
$80,000 - $90,000
Salary is based on a range of factors that include relevant experience, knowledge, skills, other job‑related qualifications.
