We’re seeking an experienced Paralegal to oversee Board governance and corporate entity administration for a growing suite of registered private funds. This role ensures compliance with regulatory standards, manages Board processes, and supports entity formation and maintenance across multiple jurisdictions.
Key Responsibilities
Coordinate quarterly and ad-hoc Board meetings; prepare and distribute Board materials. Maintain governance records, resolutions, and compliance documentation. Liaise with internal teams and external counsel to ensure regulatory compliance. Manage entity formation, qualifications, and filings (state reports, franchise taxes). Track ownership structures, capitalization tables, and support transactions. Develop governance checklists, compliance calendars, and process improvements. Qualifications
5+ years in paralegal, corporate governance, or fund administration within financial services. Expertise in entity formation, maintenance, and compliance filings. Familiarity with Exchange Act reporting (Forms 10-K, 10-Q) and registered fund governance. Strong organizational skills and ability to manage multiple Boards/entities. Base Salary:
$100,000-$150,000 + equity + annual bonus. Comprehensive benefits:
