Key Responsibilities

Support attorneys in all aspects of corporate transactions, including M&A, venture financing, and corporate reorganizations.

Form and maintain corporations, LLCs, and other business entities across multiple jurisdictions.

Prepare and maintain minute books, stock ledgers, and corporate governance records.

Assist with drafting and filing documents such as:

Formation documents (articles, bylaws, operating agreements)

Board and shareholder consents

UCC filings

Amendments and qualifications

Conduct due diligence reviews and prepare disclosure schedules.

Manage corporate closings: prepare signature packets, coordinate notarization, track deliverables, and assemble closing binders.

File documents with the SEC and state agencies (EDGAR experience a plus).

Liaise with clients, service companies, and internal teams to ensure smooth workflow.

Maintain and organize transactional files, checklists, and databases.

Qualifications

3-5+ years of corporate paralegal experience at a law firm (AmLaw or top boutique preferred).

Strong understanding of corporate governance, entity management, and transactional processes.

Proficiency with corporate/transactional software (e.g., Diligent, hCue, Carta, EDGAR).

Exceptional organizational skills and ability to manage multiple deadlines in a fast‑paced environment.

Strong written and verbal communication skills.

Bachelor's degree and ABA‑approved paralegal certificate preferred.
