The Role The Vice President, Legal is a direct report of the CEO and member of the Executive Leadership Team responsible for providing strategic, business‑forward legal guidance in a fast‑growing, publicly traded medical device company. This role leads day‑to‑day legal operations, oversees corporate compliance, manages contract strategy and execution, and partners closely with outside counsel on complex matters including securities, governance, and corporate transactions.

This is a high‑impact, hands‑on leadership role for an attorney who thrives in dynamic environments and is energized by building and improving legal infrastructure. The VP, Legal will serve as the company’s most senior in‑house legal authority, empowered to make decisions, drive outcomes, and shape a modern, business‑aligned legal function during a pivotal stage of growth.

The VP, Legal will also lead and develop the Corporate Healthcare Attorney, ensuring the legal team operates with speed, clarity, and confidence.

KEY DUTIES AND RESPONSIBILITIES Strategic Legal Leadership

Serve as the primary legal advisor to the CEO, executive team, and business leaders across the organization.

Provide clear, practical, and timely legal guidance that supports business objectives while effectively managing risk.

Partner with outside counsel on securities, governance, and complex corporate matters, ensuring high‑quality and cost‑effective legal support.

Lead and coach the Corporate Healthcare Attorney

Contracts & Commercial Support

Oversee the company’s contract function, ensuring agreements are negotiated, drafted, and executed efficiently and in alignment with business needs.

Build scalable processes, templates, and workflows to improve contract turnaround time and reduce friction for internal stakeholders.

Ensure the Corporate Healthcare Attorney is utilized in contract review, negotiation, and compliance matters.

Compliance, Privacy & Risk Management

Lead the company’s compliance program, including the Compliance Committee, ensuring policies and practices evolve with the business and regulatory landscape.

Monitor regulatory developments related to privacy (including HIPAA and GDPR), medical devices, healthcare, and public company requirements; advise leadership on implications and required actions.

Provide compliance‑related guidance and training to internal teams including Sales, Operations, Clinical, HR, Finance, and Marketing.

Corporate Governance & Public Company Support

Partner with outside counsel on SEC filings, corporate governance, and board‑related matters.

Support the preparation and review of public disclosures, including earnings materials, press releases, and investor communications.

Maintain corporate records and entity governance in collaboration with external counsel.

Cross Functional Partnership

Build strong, trust‑based relationships across the organization to ensure legal is viewed as a strategic, solutions‑oriented partner.

Provide practical, business‑aligned guidance that enables speed and clarity in decision‑making.

Collaborate with HR, Finance, Clinical, and Operations to support organizational effectiveness and risk mitigation.

REQUIRED EDUCATIONAL, TRAINING AND JOB-RELATED EXPERIENCE

12+ years of legal experience, including significant in‑house or law firm experience supporting public companies

Strong background in healthcare regulatory matters, commercial contracting, compliance, and general corporate work

Experience in medical device, healthcare, pharmaceutical, or clinical research industries.

Familiarity with SEC reporting, corporate governance, and public company compliance.

Experience supporting commercial teams and healthcare regulatory matters.

Demonstrated ability to lead, develop, and leverage legal talent

Experience partnering with and managing outside counsel

Excellent communication skills with the ability to translate legal concepts into practical business guidance

Proven ability to operate effectively in a fast‑paced, high‑growth environment

Active member of the Minnesota bar or eligible for in‑house counsel status in Minnesota

Unquestionable integrity, sound judgment, and a collaborative leadership style

Demonstrated organizational, analytical, and problem‑solving skills.

A hands‑on, practical approach with the ability to balance strategic and tactical work

PREFERRED EDUCATIONAL, TRAINING AND JOB-RELATED EXPERIENCE

Startup or growth‑stage company experience is highly desirable

WORKING CONDITIONS AND REQUIRED PHYSICAL EFFORT

This position will require interfacing with multiple internal departments and client contacts

This position will require a combination of sitting and/or standing 8 or more hours per day

Must be able to lift up to 10 lbs.

May travel up to 10% (nominal)

Salary range for U.S locations (USD): 320,000 - 350,000 per year

In addition to Base Salary, this position is eligible for our Corporate Bonus Plan (CBP) which provides the opportunity to earn additional compensation for the company’s meeting established annual objectives and prorated based on earned annual base salary.

The base salary range is applicable across the U.S., complies with federal and local regulations and may vary based on factors such as experience, certification/education, market conditions, and specific location.
