Vice President of Legal - MedTech (Hybrid)

Position Overview

Vice President, Legal – Minneapolis / St. Paul metro area (hybrid). The VP, Legal reports directly to the CEO and serves on the Executive Leadership Team. The role provides strategic, business‑forward legal guidance for a fast‑growing, publicly traded medical device company, leading day‑to‑day legal operations, corporate compliance, contract strategy, and governance matters.

Key Duties and Responsibilities

Serve as the primary legal advisor to the CEO, executive team, and business leaders across the organization.

Provide clear, timely legal guidance that supports business objectives while managing risk.

Partner with outside counsel on securities, governance, and complex corporate matters.

Lead and coach the Corporate Healthcare Attorney, ensuring legal team operates with speed and clarity.

Oversee the company’s contract function, negotiating, drafting, and executing agreements efficiently.

Build scalable processes, templates, and workflows to improve contract turnaround time.

Lead the company’s compliance program, including the Compliance Committee.

Monitor regulatory developments related to privacy (HIPAA, GDPR), medical devices, healthcare, and public company requirements.

Provide compliance training to internal teams (Sales, Operations, Clinical, HR, Finance, Marketing).

Partner with outside counsel on SEC filings, corporate governance, and board‑related matters.

Prepare and review public disclosures including earnings materials, press releases, and investor communications.

Maintain corporate records and entity governance in collaboration with external counsel.

Build trust‑based relationships across the organization to position legal as a strategic partner.

Collaborate with HR, Finance, Clinical, and Operations to support organizational effectiveness and risk mitigation.

Qualifications

12+ years of legal experience, including significant in‑house or law firm experience supporting public companies.

Strong background in healthcare regulatory matters, commercial contracting, compliance, and general corporate work.

Experience in medical device, healthcare, pharmaceutical, or clinical research industries.

Familiarity with SEC reporting, corporate governance, and public company compliance.

Demonstrated ability to lead, develop, and leverage legal talent.

Experience managing outside counsel.

Excellent communication skills, translating legal concepts into practical business guidance.

Proven ability to operate in a fast‑paced, high‑growth environment.

Active member of the Minnesota bar or eligible for in‑house counsel status in Minnesota.

Integrity, sound judgment, collaborative leadership style, organizational, analytical and problem‑solving skills.

Practical, hands‑on approach balancing strategic and tactical work.

Preferred Qualifications

Experience at a startup or growth‑stage company.

Working Conditions & Physical Effort

Multiple internal and external interfaces.

Combination of sitting and standing 8+ hours per day.

Ability to lift up to 10 lbs.

Travel up to 10% (nominal).

Compensation & Benefits

Salary range (U.S.): $320,000 – $350,000 per year.
