Draft, review and negotiate various documents such as term sheets, facility agreements and other origination and syndication documentation.
Assist the deal team in the structuring and/or evaluation of loan and facility modifications.
Act as a liaison between in‑house legal, outside counsel, business deal team and client.
Provide support to the deal team in managing the approval and closing process including procuring or assisting with Citi KYC, internal legal, and credit committee/risk approval.
Develop financing structures and securitization strategies for clients complex financing deals in industries like asset‑backed securities, mortgage‑backed securities, or corporate debt.
Assume significant levels of responsibility for the various phases of project and transaction execution, new business development and overall growth of the Spread Products franchise.
Conduct thorough credit risk analysis and ensuring compliance with rating agency criteria in securitization transactions.
Provide Citi clients with expert guidance on securitization transactions and opportunities, tailoring solutions to their specific asset portfolios and financing needs.
Work closely with Citi’s clients on transactions and guide them through the capital raising process.
Staying updated on market trends and regulatory changes in securitization and structured finance.
Provide mentorship to a team of analysts and associates in Spread Products transaction execution.
Responsible for drafting situation analyses, pitch materials, information memoranda, investor and management presentations and oversee work being performed by analysts & associates assigned to projects.
Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm’s reputation and safeguarding Citigroup, its clients and their assets, by driving compliance with applicable laws, rules and regulations, adhering to Citi policies, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency.

About this role:

Wells Fargo is seeking a Senior Lead Commercial Real Estate Origination Specialist for Low-Income Housing Tax Credit (LIHTC) equity and debt origination and underwriting.

In this role:

Assemble Excel LIHTC financial models that identify the projected financial performance of an asset, and underwriting risks associated with demand, supply, income, expenses, and financing.

Assess the proper financing structures, tax consequences, and returns of potential equity investments and debt, understanding the various loan programs, state regulations, and compliance requirements of IRC Section 42.

Prepare equity and debt term sheets.

Prepare underwriting memorandums and recommendations for credit approval.

Analyze an affordable housing developer's financial position and operational strengths and weaknesses, including leverage, key risk factors, projected income, repayment sources, cash flow, liquidity, net worth, and ability to service debt.

Analyze project-level due diligence, including loan documentation, partnership agreements, appraisals, market studies, development budgets, construction reports, etc.

Assist the negotiation of a partnership agreement, debt documents, and project documents related to the closing of a LIHTC transaction.

Participate in property tours and site visits to develop a deeper understanding of the real estate transaction and market and foster client relationships.

Work in a team environment that will require effective coordination and communication with the customer, internal closing teams, internal debt partners, risk management, and asset management.

Required Qualifications:

7+ years of Commercial Real Estate Origination experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education

Desired Qualifications:

7+ years of commercial real estate experience, 5+ of which to include a focus LIHTC

LIHTC multifamily real estate underwriting experience

Intermediate Microsoft Excel skills, including high level of proficiency in Excel LIHTC financial modeling

A BS/BA degree or higher in business, finance, real estate, accounting or a related field

Ability to help develop and maintain strong client relationships

Ability to productively participate in the underwriting and closing of LIHTC transactions

Ability to interact effectively and confidently with senior management and credit

Excellent verbal, written, and interpersonal communication skills

Outstanding problem solving and decision-making skills

Ability to work in a fast-paced deadline driven environment

The CRE Product Manager will be responsible for overseeing the development and management of commercial real estate lending product offering in U.S. Wealth Management Banking. The CRE Product Manager is an expert in the commercial real estate industry and will provide technical expertise for proactive credit analysis, credit structuring, pricing decisions, portfolio monitoring and leading the strategy for the business.

Key Responsibilities

Leading the development of the CRE lending business in U.S. Wealth Management Banking and executing to meet business and product objectives.

Providing technical expertise to origination team to properly identify quality CRE projects in strong submarkets, providing structuring and underwriting guidance and ensuring proper risks and mitigants are identified.

Overseeing the preparation of new CRE lending proposals by origination team to clients and prospects.

Negotiate directly with clients in conjunction with origination team new CRE loan opportunities.

Guiding underwriting team on property and submarket analysis.

Managing the growth of the CRE portfolio, ensuring that all KPIs and metrics for the product remain within risk tolerance levels.

Contribute to the development of the CRE lending business plan and executes to meet all identified product objectives including returns.

Works directly with clients alongside relationship managers and special assets in the event of deteriorating credit situations.

Partnering with the Commercial Real Estate team to ensure alignment of the Wealth CRE lending business within CRE Industry objectives and risk appetite. Ensuring sufficient limits are allocated for the Wealth CRE lending business.
