We have partnered with a large law firm in the

Los Angeles, CA

area to provide them with a

Corporate Paralegal. Law firm experience

and

merger and acquisition

experience is required.

Requirements Of The Corporate Paralegal

Ability to understand, interpret and explain legal principles.

Corporate law experience (SEC filings, corporate entity maintenance, drafting of resolutions, minutes, related correspondence) in a paralegal position

Strong analytical, critical thinking and problem-solving skills, including the ability to identify, resolve or escalate issues and potential liabilities in a timely manner

Experience in secured financing transactions and UCC filings is helpful but not a requirement.

Excellent communication and writing skills

Strong attention to detail

High level of organization and ability to handle multiple projects

5+ years experience with the following

Mergers and acquisitions, including: organizing data rooms and coordinating due diligence; preparing and maintaining closing checklists; drafting board and stockholder consents; and coordinating signings and closings.

Equity financings, including: LLC financings; venture capital financings; and experience preparing and coordinating securities filings, including Form ID, Form D and state blue sky filings.

General corporate, including: entity formation; drafting board and stockholder consents and meeting minutes; preparing stock certificates; drafting documents for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and LLCs; DocuSign; and Carta and other cap table management tools

Qualifications

BS/BA degree and a Paralegal Certification.

Minimum of three years of experience in a corporate in-house legal department, preferably for a sophisticated publicly traded company

Corporate secretarial skills a plus but not required.

Experience taking board meeting minutes.

Familiarity with corporate transactions.

Ability to complete extensive legal research.

Strong written and oral communication skills.

Proficient in Diligent or electronic board book tools

Proficient in Microsoft Office, including Word, Excel and PowerPoint, with strong computer and technical skills.

Flexible and eager to undertake new areas of responsibility.

Ability to follow established procedures for Domestic and International regulatory compliance requirements.

Attention to detail and strong organizational skills.

Capable of handling multiple projects with varying deadlines.

The candidate must also have strong interpersonal skills and be able to flourish in a ‘team’ environment and also work independently.
