We are seeking a

Senior Paralegal

on a contract basis to support their business needs. This role is

hybrid (3 days on-site and 2 days remote/week)

in New York City (Flatiron District).

This role plays a pivotal part in managing and supporting a global tax and governance structure by overseeing corporate governance processes for executive committees across the organization.

This position leads a major initiative with global implications, establishing appropriate corporate governance frameworks, processes, and controls to ensure compliance with applicable legal and tax regulations. The role is accountable for the effectiveness of these governance processes and the successful execution of the overall initiative. Responsibilities also include facilitating clear and effective communication among senior stakeholders, including executive leadership, tax, finance, and legal teams, ensuring alignment and transparency throughout the organization.

The ideal candidate is self‑motivated, proactive, and demonstrates strong critical and strategic thinking skills. This individual leverages legal expertise to solve complex problems, drive results, and support high‑impact governance initiatives.

Responsibilities

Provide corporate secretarial support and oversight for internal committees

Schedule and organize committee meetings, ensuring compliance with meeting frequency and documentation requirements

Attend committee meetings and serve as committee secretary

Collect and distribute meeting materials and agendas to committee members in a timely manner

Prepare, finalize, and distribute detailed meeting minutes

Collect and maintain documentation of delegated decisions, including deal memos

Maintain accurate records of committee meetings, resolutions, and decisions

Collaborate with legal counsel to ensure corporate actions align with legal and regulatory standards

Manage corporate records and ensure compliance with document retention policies

Produce documentation of committee actions for tax, legal, internal departments, or external regulators as requested

Assist with the management of U.S. subsidiaries, including maintaining corporate records and director and officer appointments

Prepare and file state registrations, qualifications, annual reports, and DBA filings

Draft corporate governance documents, including formation documents, bylaws, LLC agreements, resolutions, powers of attorney, and secretary or incumbency certificates

Coordinate with third-party corporate service providers in Canada and the Caribbean to ensure compliance with local regulatory requirements

Support accounting and tax teams with entity-related documentation and governance records

Coordinate meetings and communications with senior leadership, including the CFO, the Head of Tax, Chief Legal Officer, and other executives

Skills And Qualifications

College degree required

5-7+ years of relevant experience

Proven experience as a paralegal or legal professional in a large law firm or corporate legal department

Experience supporting sophisticated corporate governance and tax compliance matters

Comprehensive knowledge of corporate governance principles and accountability frameworks

Experience leading the execution of approved governance and compliance plans

Strong organizational and time‑management skills with exceptional attention to detail

Strong written and verbal communication skills

Ability to communicate effectively with senior leadership and executive stakeholders

Experience preparing executive‑level meeting materials and taking minutes during leadership meetings

Ability to work independently, take initiative, and assume ownership of tasks and deliverables

Proficiency with Microsoft Office, including Outlook, Word, Excel, and PowerPoint

Proficiency with Adobe, Zoom, DocuSign, OneDrive, and SharePoint

Familiarity with document management and meeting coordination tools

Ability to manage confidential information with discretion

Preferred Qualifications

Paralegal certification

Experience with international corporate governance matters

Experience coordinating with international corporate service providers
