
Corporate Paralegal

We are seeking a full-time Senior Paralegal to support our Private Funds and Investment Management practice group in addition to other corporate practice areas. This position is ideal for a highly organized, detail-oriented professional who thrives in a fast-paced legal setting and is interested in working closely with sophisticated investment management clients.
Key Responsibilities
Support the formation and ongoing maintenance of private investment funds and related corporate entities. Assist with regulatory compliance matters and securities-related filings. Provide substantive support in connection with clients’ ongoing securities offerings. Assist with general corporate transactions and closings. Conduct legal research and prepare, update, and maintain corporate and fund documentation. Draft and revise formation documents, offering materials, and related agreements. Manage entity records, corporate books, and governance documentation. Serve as a conflicts administrator, overseeing and managing the Firm’s conflicts check process (via Intapp). Work directly with clients, attorneys, and internal stakeholders on complex matters. Assist the Paralegal Manager with onboarding, training, and supervision of junior paralegals. Develop and prepare training materials and procedural documentation. Support special projects and additional firm initiatives as needed. Qualifications
4+ years of relevant experience in a legal or business environment. Experience in private funds, investment management, securities, or financial services strongly preferred. Experience with entity formation and corporate maintenance. Familiarity with conflicts management systems (Intapp experience preferred).
