About This Role As the Loan Closure Paralegal reporting directly to the Vice President, General Counsel, you will play a pivotal role in managing post-closing requirements of core fund loans, facilitating the closing of special loan fund loans, and handling documentation related to extensions and amendments of portfolio loans. Your work will be essential in driving NFF's mission forward by ensuring lending activities are executed meticulously and in compliance, allowing for responsible and effective capital deployment. Additionally, you will provide crucial support to the general operations of the General Counsel department, actively contributing to various functional areas including compliance and documentation. This position is ideal for a detail-oriented, highly organized professional who values accountability, collaboration, and is keen on advancing NFF's mission through precise execution of legal and lending processes. NFF operates within core business hours of 9:00 am to 5:00 pm local time, and occasional travel (approximately 20%) will be required. What You Will Do Key responsibilities for this position include, but are not limited to: Client Loan Closings Stewardship (40%)
Draft amendments, waiver letters, and other necessary loan documents. Organize and track closing documentation for loan transactions. Assist with pre-closing and closing activities as required. Collect signature pages and prepare wire transfer requests. Prepare and file UCC filings, including continuation and termination statements. Conduct lien and litigation searches. Perform corporate entity searches. Prepare and manage collateral release documents.
Post-Closing Compliance Operations (30%)
Schedule post-closing meetings with loan servicing, underwriting, portfolio management, and general counsel departments. Track and follow up on documents and items required post-closing. Monitor UCC and mortgage filings and title insurance policies in favor of NFF. Maintain and update the post-closing checklist.
General Counsel Operations & Administrative Support (20%)
Serve as Asana project manager, creating and tracking projects. Establish and maintain client files. Upload files to the corporate cloud document management system and Salesforce. Keep track of loan amendments and other General Counsel department activities. Coordinate department meetings, mailings, and filing projects. Assist NFF's NMTC team with post-closing support, including file maintenance. Collaborate with NFF's internal enterprise support team, outside agents, and online platforms to manage tasks.
Special Projects, Meetings, & Other Duties as Assigned (10%)
Form and dissolve special purpose entities for NFF's NMTC team. Support special projects as needed to advance the business. Attend internal and external meetings as necessary. Contribute to advising a dynamic organization on complex legal, business, and strategic issues. Adapt to changing assignments, projects, and job duties as community and client needs evolve.
Who You Are and Minimum Qualifications A bachelor's degree in business administration, paralegal studies, public administration, or a related field;
equivalent combinations of relevant education, training, and experience will be considered. Five (5) years of professional experience as a paralegal or in a similar role in a law firm with a focus on financial transactions, corporate transactional work, including project finance, securities, structured finance, or public finance law. Advanced skills in managing multiple concurrent projects or transactions, with accountability for tracking timelines, deliverables, and follow-ups. Proven ability to communicate clearly and professionally in both written and verbal formats with internal stakeholders and external parties.
