is seeking an experienced
Corporate Paralegal
to join its New York office. As a Corporate Paralegal, you will play a key role in supporting attorneys and senior paralegals across a wide range of corporate transactions and entity‑related work. This position offers the opportunity to work on sophisticated matters while contributing to a team known for excellence, innovation, and strong client service.
Key Responsibilities:
Manage all phases of corporate and finance transactions from inception through closing
Draft and organize transaction checklists, closing sets, and entity‑related documents
Handle entity formations, registrations, filings, EIN applications, and maintain minute books
Support client onboarding, including reviewing corporate records and cap tables
Maintain equity platform files (Carta, Shareworks, Diligent)
Assist with M&A transactions, securities offerings, and corporate restructurings
Review and finalize legal documents while ensuring confidentiality and compliance
Qualifications:
4+ years
of corporate paralegal experience in a law firm environment
Strong knowledge of state corporation laws and federal/state securities regulations
Excellent communication, organizational, and interpersonal skills
Bachelor’s degree required; paralegal certificate preferred (or equivalent experience)
