A top-tier, highly respected firm is seeking a
Corporate Paralegal
to support a sophisticated transactional practice handling M&A, venture capital, private equity, and securities work. This is a hands-on role with exposure across the full deal lifecycle in a fast-paced, collaborative environment. What You’ll Do • Support M&A, VC, and private equity transactions from start to finish • Manage cap tables and equity tracking (Carta, ShareWorks, etc.) • Conduct due diligence and assist with closings • Draft corporate documents, resolutions, and closing materials • Maintain corporate records, minute books, and compliance filings • Assist with securities filings and governance matters What You Must Have • 3–5+ years of corporate paralegal experience • Strong experience with M&A, venture capital, or private equity transactions • Hands-on experience with cap tables and equity management platforms (Carta, Pulley, AngelList, ShareWorks) • Experience with due diligence, closings, and corporate governance • Familiarity with UCC filings, Blue Sky compliance, and/or SEC filings • Strong attention to detail and ability to manage multiple transactions simultaneously • Excellent communication skills and a proactive, team-oriented mindset This is an excellent opportunity to join a high-performing team working on complex, high-value transactions with strong growth potential.
