Overview
Seeking a Legal Counsel with strong fund formation experience, especially in
SFC‑authorised funds
and
QDLP structures . You will support fund launches, regulatory matters, and ongoing legal documentation across the platform.
Key Responsibilities
Handle fund formation work: LPAs, IMAs, PPMs, subscription docs, and side letters.
Support setup and maintenance of
SFC‑authorised funds
and ensure compliance with UT Code requirements.
Advise on
QDLP fund
structuring, offering, and cross‑border regulatory issues.
Review distribution, custody, admin, and service provider agreements.
Partner with investment, product, and compliance teams on regulatory and product matters.
Coordinate with external counsel on authorisations, registrations, and filings.
Manage legal risks and support SFC-related inquiries or inspections.
Requirements
Hong Kong or common‑law qualified lawyer.
5-10 years' PQE in funds or asset management (private practice or in‑house).
Strong experience in fund formation and authorised fund products.
Prior QDLP/QFLP exposure preferred.
Solid understanding of SFC Type 9 regulatory requirements.
Strong drafting skills; Chinese language a plus.
