Overview
Seeking a Legal Counsel with strong fund formation experience, especially in SFC‑authorised funds and QDLP structures . You will support fund launches, regulatory matters, and ongoing legal documentation across the platform.
Key Responsibilities
- Handle fund formation work: LPAs, IMAs, PPMs, subscription docs, and side letters.
- Support setup and maintenance of SFC‑authorised funds and ensure compliance with UT Code requirements.
- Advise on QDLP fund structuring, offering, and cross‑border regulatory issues.
- Review distribution, custody, admin, and service provider agreements.
- Partner with investment, product, and compliance teams on regulatory and product matters.
- Coordinate with external counsel on authorisations, registrations, and filings.
- Manage legal risks and support SFC-related inquiries or inspections.
Requirements
- Hong Kong or common‑law qualified lawyer.
- 5-10 years' PQE in funds or asset management (private practice or in‑house).
- Strong experience in fund formation and authorised fund products.
- Prior QDLP/QFLP exposure preferred.
- Solid understanding of SFC Type 9 regulatory requirements.
- Strong drafting skills; Chinese language a plus.
